(hereinafter referred to as the “COMPANY”),

(hereinafter referred to as “MyCo”).





WHEREAS:





A. MyCo possesses certain proprietary trade secrets, manufacturing processes, analytical methodologies, experimental data, analyses, formulas, algorithms, specifications and know-how (hereinafter referred to as the “Information”).





B. COMPANY is interested in evaluating the Information to determine its scientific interest and whether it would wish to enter into a commercial relationship with MyCo (hereinafter referred to as the ';Purpose';).





In consideration of receiving certain Confidential Information from MyCo from time to time, COMPANY agrees as follows:





1. As used herein, ';Confidential Information'; shall mean any and all information, whether written, graphic or oral, as well as samples or specimens thereof disclosed by MyCo, either directly or indirectly, with the exception only of the following:


a) information that is now in the public domain or subsequently enters the public domain through no fault of COMPANY;


b) information that is presently known or becomes known to COMPANY from its own independent sources as evidenced by COMPANY'S written records;


c) information that COMPANY received from any third party: provided, however, that such information was not obtained by said party directly or indirectly from MyCo.





2. COMPANY acknowledges the Confidential Information to be the exclusive property of MyCo. Except for the purpose set out above, COMPANY will not use the Confidential Information for its own benefit or for the benefit of any other person without prior written consent of MyCo.





3. COMPANY will not allow the Confidential Information to be transmitted outside the borders of the following countries:


A. Canada


B. United Kingdom


C. United States of America


or to any person who is not a citizen of the countries listed above without the prior written consent of MyCo.





4. COMPANY will treat the Confidential Information as confidential and will not disclose the same except:


A. To those of COMPANY’S employees who satisfy the citizenship requirement set out in article 3 and are required to have the Information in order to fulfill the purpose set out above.


B. Without the prior written consent of MyCo.





5. COMPANY will obtain from each employee to whom disclosure is made an undertaking to keep the Confidential Information confidential and will take reasonable steps to enforce such undertaking.





6. It is understood that this agreement will not place a restriction on the disclosure by COMPANY of any Confidential Information to the extent required by law, regulations, or orders of any governmental agency thereof within the countries listed in article 2.





7. COMPANY'S obligations under this Agreement shall be effective as of the date first written above (hereinafter referred to as the ';Effective Date';) and shall continue in force after the termination of MyCo’S relationship with COMPANY.





8. All Confidential Information shall remain the property of MyCo and all such information, and copies or notes thereof, shall be promptly returned upon request, or destroyed at the option of MyCo. However, COMPANY shall be entitled to retain one set of all such information in a sealed envelope to be delivered to COMPANY'S solicitor for the sole purpose of determining COMPANY'S obligations under this Agreement.





9. Nothing herein shall grant or be implied as granting any right to use or sell the Confidential Information, and nothing herein shall be implied as a commitment by the parties hereto to enter into a licence agreement for the Confidential Information, nor create any onus on MyCo to provide COMPANY with all Confidential Information known by MyCo from the Effective Date to the termination of this Agreement.
